Terms and Conditions

 Interpretation: 

Guto Sound, Guto Technology Solutions, Our, We, Us – means Guto Sound Pty Ltd (ABN: 41 617 587 792) (trading as “Guto Technology Solutions”) a company registered in Australia whose registered office is at 20 Cape Barron Drive, Lara Victoria 3212.

You, The Customer – means the person, company, business, organization, or representative whose details are set out on the Quotation; and where the Customer is a partnership references to “Customer” include all partners and each partner is jointly and severally liable for performance of the Customer’s obligations under the Contract.

 • The quotation provided is valid for 30 days from the date of issue unless otherwise agreed in writing.

• Guto Technology Solutions does not guarantee the availability of equipment and staff until confirmation is received in writing, via an official purchase order or signed quotation to this email address: guto@gutosound.com.au

• All the goods installed and delivered by Guto Technology Solutions shall remain our property until the full amount of the quotation, including all the additional costs, has been paid in full.

• This project has been budgeted under the assumption of a seamless and continuous workflow. There is no provision for site access restrictions or delays resulting from downtime caused by external factors.

• The pricing is provided under the condition that the work is carried out during regular business hours (from 8 am to 5 pm, Monday to Friday, excluding public holidays).

• Additional charges may apply for any work that needs to be completed outside of regular business hours.

• Unless specified the quotation does not include delivery, set up, operation, overnight security, travel expenses, accommodation, licensed riggers fees, electrician fees, generators, transport, insurance, venue costs, or per diems for staff. 

• If the customer intends to incorporate their existing equipment into the project, such intention must be communicated during the quotation process. Each item will undergo an inspection to verify its functionality and safety for installation by our technicians. Guto Technology Solutions will not be liable for defects or malfunctions in used equipment provided by the Customer.

• The Customer is responsible for supplying stabilized, clean mains power according to Guto Technology Solution’s reasonable instructions. This quality of power supply must be maintained after the installation to ensure the continued optimal performance of the equipment.

1. Payment:

1.1 The total price on the quotation, payable as follows:

a. 50% upon the signing of this Contract as an initial deposit. 

b. 50% 7 days from the successful completion of the installation or handover date.

2. Scope of Work:

2.1 Guto Technology Solutions agrees to supply and install audio-visual equipment outlined in the Scope of Work.

2.2 Changes to the Scope of Work must be formally submitted in writing and will be considered valid only upon mutual agreement of both parties, including any associated costs related to the modifications.

3. Installation, Materials, and Equipment Specifications:

3.1 The equipment to be supplied and installed shall comply with the Australian standards and requirements set by the manufacturer, and the regulatory authorities. The requirements are designed to ensure the safety, performance, and quality of the equipment and the service. Any deviation from the manufacturer’s specifications requires a prior written request by the Customer and approval from Guto Technology Solutions.

3.2 All materials and equipment used in the installation shall be new, unless otherwise specified in the Scope of Work, and shall be free from defects. 

3.3 The Contractor shall provide the Client with information on the specifications and warranties of materials and equipment used in the installation.

3.4 We shall install the equipment at the location specified by the Customer, as detailed in the Scope of Work.

3.5 The installation shall be completed by the agreed date, subject to any delays beyond Our control.

4. Warranty: 

4.1 Guto Technology Solutions provides a 12-month workmanship warranty on all installation services. Any defects or deficiencies discovered during this period shall be promptly corrected by at no additional cost to the customer.

4.2 Any customer-initiated repair, re-wiring, or replacement will result in the voiding of the installation warranty.

5. Inspections and Acceptance: 

5.1 Upon completion of the installation, the Customer shall have the right to inspect the work to ensure that it meets the standards outlined in the Scope of Work.

5.2 The Customer shall notify Guto Technology Solutions in writing of any defects or deficiencies identified during the inspection within 2 days from the completion date.

5.3 Guto Technology Solutions shall promptly remedy any defects or deficiencies identified by the Customer to the satisfaction of both parties.

6. Return and Change of Mind:

Returns: 

6.1 The Customer, acknowledges that due to the nature of the installation services and materials provided, returns are generally not accepted. You are encouraged to thoroughly review and approve all project plans, specifications, and materials before the commencement of work.

6.2 In the event of any defective materials or workmanship, you shall notify Guto Technology Solutions in writing within 2 days of the completion of the installation. We will, at our sole discretion, either repair or replace the defective materials or workmanship at no additional cost to you.

 Change of Mind: 

6.3 The Customer is not entitled to a repair, replacement, or refund under the Australian Consumer Law if: they received what they asked for but simply changed their mind, found the product cheaper somewhere else, or decided they did not like the purchase or had no use for it.

6.4 If the customer wishes to make changes to the Scope of Work or materials after the commencement of installation, the customer shall submit a written change request to Guto Technology Solutions.

6.5 Guto Technology Solutions will review the change request and provide the Customer with a written estimate of the cost and any potential impact on the project timeline.

6.6 Upon the Customer’s approval of the estimate, both parties shall execute a written change order specifying the agreed-upon changes to the Scope of Work, the adjusted project timeline, and the additional cost, if any. The change order shall become an integral part of this contract.

6.7 The Customer acknowledges that changes to the Scope of Work may result in additional costs and delays. Guto Technology Solutions shall not be held responsible for such costs and delays unless the changes are approved in writing by the Customer.

Cancellation: 

6.8 If the Customer wishes to cancel the installation project after the commencement of work for reasons other than default by Guto Technology Solutions, the Customer shall be responsible for all costs incurred by Guto Technology Solutions up to the date of cancellation.

6.9 Guto Technology Solutions, at its discretion, deducts any costs incurred from any advance payments made by the Customer. If the costs exceed the advance payments, the Customer shall be responsible for the payment of the outstanding amount.

 Returns and Restocking Fee: 

6.10 If the Customer wishes to return any materials or goods purchased for the installation project, the Customer must notify Guto Technology Solutions within 7 days before the delivery date.

6.11 Returns are subject to approval by Guto Technology Solutions. The Customer shall be responsible for all shipping and handling costs associated with the return.

6.12 A restocking fee of 25% of the total value of the returned materials or goods may be applied by Guto Technology Solutions to cover costs associated with inspecting, restocking, and processing the return.

6.13 The restocking fee shall be deducted from any refund due to the Customer upon successful inspection and acceptance of the returned materials or goods.

Condition of Returned Materials: 

6.14 Returned materials or goods must be in their original condition, unused, and in their original packaging.

6.15 Guto Technology Solutions reserves the right to refuse returns of any materials or goods that are damaged, used, or not in their original packaging.

Refund Process: 

6.16 Upon approval of the return and inspection of the materials or goods, Guto Technology Solutions will process any applicable refund within 14 days.

6.17 Guto Technology Solutions Refunds will be issued using the same method of payment used by the Customer for the original purchase.

Exceptions: 

6.18 Customized or specially ordered materials or goods may not be eligible for return, and any such returns will be handled on a case-by-case basis.

6.19 This restock clause does not apply to returns related to defective materials or workmanship, which are subject to the terms outlined in the “Returns” section of this contract.

7. Variations: 

7.1 The Customer may request changes to the original Scope of Work by submitting a written variation request to Guto Technology Solutions. The variation request shall clearly outline the proposed changes, including any modifications to the project specifications, materials, or work to be performed.

7.2 Guto Technology Solutions shall promptly review the variation request and provide the Customer with a written estimate of the additional cost, if any, and any potential impact on the project timeline.

7.3 Upon the Customer’s approval of the estimate, both parties shall execute a written variation order specifying the agreed-upon changes to the Scope of Work, the adjusted project timeline, and the additional cost, if any. The variation order shall become an integral part of this contract.

Cost and Timeline Adjustments: 

7.4 The Customer acknowledges that variations to the Scope of Work may result in additional costs and may impact the project timeline. The Customer agrees to pay the additional costs associated with approved variations.

7.5 Guto Technology Solutions shall not be held responsible for delays or additional costs incurred as a result of variations that were not approved in writing by the Customer.

Scope of Work Exclusivity: 

7.6 Guto Technology Solutions shall only be obligated to perform work that is expressly outlined in the Scope of Work, as well as any approved variations documented in writing through a variation order.

7.7 Any work outside the Scope of Work and approved variations shall be subject to separate negotiation and contract between Guto Technology Solutions and the Customer.

No Verbal Variations: 

7.8 No variations to the Scope of Work shall be valid unless documented in writing through a variation order signed by both parties. Verbal contracts regarding variations shall not be binding.

Effect on Contract Price: 

7.9 The contract price shall be adjusted to account for any variations approved by the Customer. The adjusted contract price shall be reflected in the variation order.

8. Travel & Incidental Costs

 8.1 Travel and incidental costs provided are subject to adjustment based on the actual expenses incurred during the execution of the project. Please inform us if onsite parking can be arranged during the work.

Supporting Documentation 

8.2 All expense reports must be submitted with supporting documentation. Itemized receipts are required for reimbursement and must include the name of the customer, location of the customer, date of expense, and dollar amount of charge. Finance or customers may request original receipts and/or credit card statements for auditing purposes, so all Guto Technology Solutions employees and sub-contractors are required to maintain original receipts or high-quality scans.

9. Maintenance Services

9.1 The Customer has the option to request Maintenance Services from Guto Technology Solutions for the equipment, and upon such request, a Maintenance Service Contract will be provided to the Customer.
